This document is designed to support unions to compare unincorporated, Company Limited by Guarantee (CLG) and Charitable Incorporated Organisation (CIO) as legal forms.

Adaptable Model Governing Documents,  Explanatory Notes and Checklists

In order to support unions in ensuring their governing documents are relevant and up-to-date the National Union of Students (NUS) has produced adaptable model governing documents. These are designed to be flexible for all types of union, including those in further education, art college unions, large unions with long established societies, distance learning universities and everything in between.

Please use the checklist below to ensure you have adapted the model documents correctly.

Company Limited by Guarantee

You'll notice the explanatory notes are in draft form as we await a global consent letter from the Charities Commission. If you are thinking of incorporating and using the NUS Model Articles email strategicsupportunit@nus.org.uk as soon as possible to be added on to the global consent schedule.

Please note: Unions can only use these articles to register as a CLG if they complete the registration process before 31st December 2016. Please email strategicsupport@nus.org.uk for an update if you are likely to incorporate or update your articles in 2018.

Charitable Incorporated Organisation

The CIO status became available to charities in England and Wales on 4 March 2013. NUS has since worked with BWB Solicitors to produce a new set of articles for this legal from. The Charities Commission will not be issuing a global consent letter for this form of incorporation so you should follow the process as in the guide to amending articles. 

These documents have been amended and you should email strategicsupport@nus.org.uk if you require access to them.
